1. WHO WE ARE AND WHAT THIS AGREEMENT IS

1.1. These Terms of Use (the “Terms”) form a binding agreement between DIGITAL AZBA MARKETPLACE FZCO, a free zone company incorporated in the Dubai Airport Free Zone, Dubai, United Arab Emirates, trading under the brand “AZBA” (“AZBA”, “we”, “us”), and you (“you”, “User”) governing your access to and use of the AZBA platform (the “Platform”). 1.2. By creating an account, publishing a listing, contacting another User through the Platform, or otherwise using the Platform, you confirm that you have read, understood and accepted these Terms. If you do not accept them, you must not use the Platform. 1.3. These Terms apply together with the AZBA Privacy Policy and any additional terms published for specific paid services, which are incorporated by reference.

2. NATURE OF THE SERVICE — THE MOST IMPORTANT SECTION

2.1. AZBA operates a digital classified-listing platform (an electronic directory). Its principal function is to provide technical tools for Users to publish, discover and communicate about listings of automotive spare parts, vehicles and automotive services, and to contact each other directly. AZBA does not itself buy, sell, supply or provide any of the goods or services listed by Users. 2.2. AZBA is not a party to any transaction between Users. Every sale, purchase, exchange, service engagement, delivery, payment, warranty, return or dispute arising from a listing is concluded exclusively between the User publishing the listing (“Seller”) and the User responding to it (“Buyer”), directly and on their own account and risk. 2.3. AZBA does not act as, and must not be represented as acting as: a seller, buyer, importer, distributor, retailer, dealer, agent, commercial agent, broker, intermediary in the legal sense of a commissionaire, auctioneer, valuer, inspector, appraiser, escrow agent, payment service provider, insurer, guarantor, surety, carrier, logistics provider, workshop, or service provider in respect of any item or service advertised on the Platform. AZBA has no authority to conclude, vary, cancel or perform any transaction on behalf of any User, does not set, recommend or influence the price of any item, and takes no part in any User’s decision to enter into a transaction. 2.4. AZBA does not hold, own, possess, inspect, test, store, transport, examine or take custody of any goods or vehicles advertised on the Platform at any time. 2.5. AZBA does not receive, hold, transfer or process any payment between Buyer and Seller. AZBA does not operate escrow. AZBA charges Users only for its own optional promotional and visibility services as described in Section 9, and receives no commission, fee, share, mark-up or other consideration calculated by reference to any transaction between Users. 2.5A. AZBA holds a Service Licence, not a Trading Licence. AZBA operates under service licence number 07519 issued by the Dubai Integrated Economic Zones Authority and is registered in the Dubai Airport Free Zone companies register under number RNo-03280. AZBA operates only within the activities authorised by its applicable licence and does not conduct trading activities in goods or vehicles unless and until duly licensed to do so. AZBA does not trade in, import, export, distribute or sell goods or vehicles. Any representation by any person that AZBA is the seller, supplier, importer or distributor of any item advertised on the Platform is incorrect. 2.6. AZBA gives no warranty, representation, guarantee, assurance or undertaking of any kind, express or implied, in relation to: (a) the existence, availability, quantity, quality, condition, age, wear, mileage, origin, provenance, manufacturing date, authenticity, genuineness, originality or non-counterfeit status of any item; (b) the compatibility, fitness for purpose, roadworthiness, safety, functionality, remaining service life or conformity to any standard or specification of any item; (c) the accuracy, completeness, currency or truthfulness of any listing, photograph, description, specification, part number, VIN, chassis number, mileage figure, accident history, price or any other information published by a User; (d) the legal title to, lawful ownership of, absence of encumbrance, mortgage, lien, finance, seizure, theft record or export restriction affecting any item; (e) the identity, capacity, legal status, licensing, solvency, honesty, reliability or good faith of any User; (f) the possession by any Seller or service provider of any trade licence, permit, approval, registration or professional qualification required under UAE law; (g) the conclusion, performance, completion or outcome of any transaction, or the delivery, payment, quality of workmanship or after-sales support relating to it. 2.7A. AZBA sets no rules governing transactions between Users. AZBA does not establish, operate or administer any returns policy, refund policy, warranty, guarantee, quality standard, delivery term, inspection right, cancellation right or dispute-resolution mechanism in respect of any transaction between Users. The rights and obligations of a Buyer and a Seller arise from their own agreement and from the mandatory provisions of UAE law, and are enforceable between them alone. Any statement to the contrary appearing anywhere is superseded by this clause. 2.7. AZBA does not verify Users. Registration requires only a mobile number and an e-mail address, which are verified for technical deliverability only. Such verification confirms control of a communication channel. It is not identity verification, and it does not constitute confirmation, endorsement, approval, accreditation, recommendation or vouching for any User. 2.8. Users deal with each other entirely at their own risk. You are solely responsible for satisfying yourself as to the identity of your counterparty, the condition and legality of any item, the terms of your transaction, and the method and security of any payment. You are strongly advised to inspect items physically before purchase, to verify vehicle records through the competent authorities, and never to transfer funds in advance to a person you have not met.

3. CONTENT SCREENING — SCOPE AND LIMITS

3.1. AZBA operates a technical screening process for listings submitted for publication. The exclusive purpose of this process is the technical and editorial quality of the catalogue. It is limited to checking whether a submission: (a) contains the mandatory fields required by the listing form; (b) is placed in a plausible category and is not an obvious duplicate; (c) contains images of adequate technical quality that are not manifestly unrelated to the stated item; (d) is free of manifestly prohibited content as listed in Section 6, where such content is apparent on its face without investigation; (e) is free of contact-detail spam, obscenity, off-platform solicitation or text that breaches Section 6. 3.2. This screening is not, and must not be understood or represented as: an inspection of any item; a check of the seller’s title, ownership or right to sell; a check of authenticity, genuineness or non-counterfeit status; a check of condition, safety, mileage or accident history; a check of compliance with any technical standard; a check of the accuracy of any statement made by the Seller; a check of any User’s identity or licensing; or an approval, endorsement or recommendation of any listing, item or User. 3.3. AZBA performs this screening on a purely visual and formal basis, from the information submitted, without independent investigation, and makes no undertaking to detect any breach of these Terms or of the law. 3.4. Publication of a listing does not constitute a statement by AZBA that the listing or the item is lawful, accurate, genuine, safe or compliant. 3.5. AZBA is under no obligation to screen, monitor, review or moderate any listing, chat message, review or other User content, whether before or after publication. Where AZBA does so, it acts voluntarily and in its own commercial interest in catalogue quality, and assumes no duty of care to any User by doing so. 3.6. AZBA may at its sole and absolute discretion, without prior notice, without giving reasons and without liability: refuse to publish, edit, re-categorise, downrank, hide, suspend, remove or delete any listing or content; and suspend, restrict or terminate any account. No User has any right to publication. 3.7. Automated ranking, sorting, recommendation and search-relevance functions are technical processes based on User activity signals. Position in search results, categorisation, or appearance in any recommendation carries no endorsement of any kind.

4. ELIGIBILITY AND ACCOUNTS

4.1. The Platform is available only to persons aged 18 years or over who have full legal capacity. By registering you represent that you meet this requirement. 4.2. You must provide accurate and current registration information and keep it updated. You may hold one account only, unless AZBA expressly permits otherwise. 4.3. You are solely responsible for all activity conducted through your account and for keeping your credentials, device and verification codes secure. You must notify AZBA immediately of any unauthorised use. 4.4. AZBA may at any time introduce or require additional verification measures as a condition of continued use or of access to particular functions, including verification of Emirates ID, passport, trade licence, vehicle registration or ownership documents. Refusal to complete a required verification may result in restriction of the relevant function or of the account. 4.5. Accounts are personal and may not be sold, rented, shared or transferred. 4.6. If you use the Platform as, or on behalf of, a business entity, you represent and warrant that you have full authority to bind that entity to these Terms, and these Terms bind both you and that entity jointly and severally. AZBA is entitled to rely on that representation without further enquiry.

5. SELLER OBLIGATIONS, REPRESENTATIONS AND WARRANTIES

5.1. By publishing any listing you represent and warrant, on a continuing basis, that: (a) you are the lawful owner of the item, or are duly and validly authorised by the lawful owner to offer it; (b) the item is free from any theft record, seizure, court order, mortgage, lien, finance encumbrance or third-party claim, or where any such encumbrance exists it is expressly and prominently disclosed in the listing; (c) the item is not counterfeit, imitation, falsely branded, falsely labelled, re-badged, or bearing any trademark, logo, part number or holographic marking that it is not entitled to bear; (d) every statement in your listing — including condition, mileage, year, specification, part number, compatibility, accident history and provenance — is accurate, complete and not misleading, whether by statement or by omission; (e) all photographs are of the actual item offered, are current, and were taken by you or are used with the rights holder’s permission; (f) the item and its sale comply in full with the laws of the United Arab Emirates, including customs, import, standardisation, safety, environmental, consumer protection and intellectual property requirements, and with any applicable technical standard or conformity requirement; (g) where you sell in the course of a trade, business or profession, you hold a valid UAE trade licence covering that activity, you comply with all VAT and tax obligations arising from your sales, and you comply in full with Federal Law No. 15 of 2020 on Consumer Protection, as amended (including by Federal Decree-Law No. 5 of 2023) and its Executive Regulations (Cabinet Resolution No. 66 of 2023), and with Federal Decree-Law No. 14 of 2023 on Trading by Modern Technological Means and Cabinet Decision No. 200 of 2025 issued under it; (h) where you advertise services, you hold every licence, permit, approval and professional qualification required under UAE law to perform them, and you maintain adequate insurance; (i) your listing does not infringe any intellectual property right, image right, privacy right or contractual obligation of any third party. 5.2. You are solely responsible for issuing any invoice, tax invoice, receipt, warranty, return policy or other document required by law in respect of your sales, and for honouring all statutory consumer rights of your Buyers. AZBA bears none of these obligations and provides no facility for them. 5.3. You must deal fairly and honestly with Buyers, respond to enquiries in good faith, and resolve complaints directly with them. 5.4. You must not solicit or accept payment through any method you know or suspect to be used to evade legal obligations, and must not use the Platform to launder proceeds, to dispose of stolen property, or to circumvent any sanction, embargo or export control. Private Sellers and Business Sellers 5.5. Users selling through the Platform fall into two categories: Private Sellers and Business Sellers. 5.6. A Business Seller is any User who offers items or services in the course of a trade, business or profession. Indicators include the regularity of listings, the volume and range of items offered, the acquisition of items for resale, and the offering of services. A Business Seller must register a Business Account and provide the details of the legal entity or establishment concerned, its valid UAE trade licence and, where relevant, the authority of the person acting for it. 5.7. A Private Account may not be used to evade consumer-protection, tax, licensing, disclosure or fee obligations. Where AZBA reasonably considers that a User is trading in the course of a business, AZBA may require reclassification to a Business Account and may restrict the account until this is completed. 5.8. AZBA may display an indication such as “Business Account” or “Trade Licence Provided”. Any such indication means only that the stated documents or details were submitted to AZBA. It is not verification, authentication, accreditation, endorsement, or a statement about the quality, reliability or legality of that User or of anything they offer. 5.9. Business Sellers bear in full the statutory obligations of a supplier, including those under Federal Law No. 15 of 2020 on Consumer Protection, as amended, and Federal Decree-Law No. 14 of 2023 on Trading by Modern Technological Means and its implementing decisions — including disclosure of identity and licence details, pricing transparency, invoicing, and statutory return and warranty obligations. AZBA does not assume, share, guarantee or discharge any of these obligations.

6. PROHIBITED LISTINGS AND CONDUCT

6.1. The following may not be advertised, offered or sold through the Platform: (a) counterfeit, imitation or falsely branded parts, and any part bearing a trademark or part number it is not entitled to bear; (b) stolen items, items of unlawful origin, items subject to seizure or court order, and vehicles or parts with tampered, ground, altered or removed VIN, chassis, engine or serial numbers; (c) used, refurbished, repaired, re-covered or salvaged safety-critical components where their resale or reuse is restricted or prohibited under UAE law or applicable technical regulations, including airbags, airbag modules, seat-belt pretensioners, and any component subject to a mandatory single-use or scrappage requirement; (d) items subject to an unremedied manufacturer safety recall; (e) parts removed from write-off, flood-damaged, fire-damaged or salvage vehicles where their resale is restricted, or without prominent disclosure of that origin where disclosure is required; (f) devices, software or services whose purpose is odometer alteration, ECU defeat, emissions defeat, immobiliser or key-code circumvention, airbag light suppression, or similar circumvention of safety or regulatory systems; (g) any goods whose trade is restricted or prohibited under UAE law, including weapons, ammunition, controlled substances, restricted chemicals and dual-use items; (h) any item the Seller does not lawfully possess or have authority to sell; (i) automotive services offered by any person not holding the trade licence and approvals required under UAE law for that activity; (j) financial services, currency exchange, cryptocurrency, loans, employment offers, and any content unrelated to automotive parts, vehicles or automotive services; (k) content that is fraudulent, deceptive, defamatory, obscene, discriminatory, offensive to public morals or public order in the UAE, contrary to UAE law, or offensive to the religious or national sensitivities of the UAE. 6.2. You must not: publish false or duplicate listings; manipulate search results or ranking; use bots, scrapers or automated data extraction against the Platform; harvest other Users’ contact details for marketing; impersonate any person; circumvent any technical restriction; attempt unauthorised access; or use the Platform to distribute malware, spam or phishing content. 6.3. AZBA may report suspected criminal conduct to the competent UAE authorities and may disclose User data to them upon a lawful request, in accordance with the Privacy Policy.

7. VEHICLE AND SERVICE LISTINGS — ADDITIONAL TERMS

7.1. Sellers of vehicles additionally represent and warrant that: the odometer reading stated is the true and unaltered reading; any accident, structural damage, chassis repair, flood damage, fire damage, write-off, insurance total-loss or salvage history is fully and prominently disclosed; the vehicle’s registration status, ownership status and any outstanding finance, mortgage, fines or traffic file obligations are accurately disclosed; and the vehicle is not subject to any export restriction or unresolved customs obligation. 7.2. AZBA does not verify any vehicle history, mileage, registration, ownership, finance status, accident record or export status, and provides no vehicle history report. Buyers must verify these independently through the competent UAE authorities before purchase. 7.3. Registration transfer, deregistration, export clearance, insurance, fines settlement and all related formalities are the exclusive responsibility of the Buyer and Seller. 7.4. Service listings. A User advertising automotive services represents and warrants that it is a legal entity or establishment holding a valid UAE trade licence covering the advertised activity, together with every permit, approval, technical registration and professional qualification required for it, and that it maintains insurance appropriate to those activities. 7.5. AZBA does not verify trade licences, permits, qualifications, insurance or technical competence, does not select, accredit, recommend, rank by quality or approve any service provider, and gives no warranty as to the standard, safety, timeliness or outcome of any work performed. 7.6. The contract for services is concluded directly between the service provider and the customer. All liability for the performance of services, for workmanship, for any warranty on work performed, for damage to a vehicle, and for any personal injury or property damage arising from the services rests exclusively with the service provider. AZBA is not a party to it, gives no guarantee in respect of it, and has no role in any dispute concerning it.

8. USER COMMUNICATIONS

8.1. The Platform provides an in-app messaging function to allow Users to contact each other. AZBA is not a party to those communications. 8.2. AZBA is under no obligation to monitor messages. AZBA may access, scan, retain and analyse messages by automated or manual means where necessary for fraud prevention, security, abuse detection, complaint handling, legal compliance or the enforcement of these Terms, as described in the Privacy Policy. 8.3. Automatic translation may be applied to messages as a convenience. Translations are machine-generated, may be inaccurate, and are not certified. AZBA accepts no liability for any translation error or for any transaction concluded in reliance on a translation. 8.4. Any commitment, price, specification, guarantee or assurance exchanged between Users is between them alone and creates no obligation for AZBA. Reviews and Ratings 8.5. The Platform allows Users to publish reviews and ratings of other Users. Reviews and ratings are the personal opinions of the Users who write them. They are not statements, assessments, endorsements, certifications or verifications by AZBA. AZBA does not adopt, verify, endorse or take responsibility for the content of any review. 8.6. An aggregate rating displayed on a profile is an automatically calculated arithmetical summary of ratings submitted by Users. It is not an assessment, accreditation, recommendation or quality certification issued by AZBA, and no User may present it as such. 8.7. A review may be published only by a User who has had a genuine, verifiable interaction with the User being reviewed through the Platform. 8.8. In publishing a review you must not: allege that any person has committed a crime, fraud, theft or any other offence; state as fact anything you cannot substantiate; publish insults, abuse, obscenity, threats, or content offensive to the dignity, religion, nationality, race or family of any person; disclose any person’s personal data, identity documents, private correspondence, photographs or contact details; or publish content that would constitute defamation, insult or an offence under UAE law, including Federal Decree-Law No. 34 of 2021 on Countering Rumours and Cybercrimes. 8.9. You alone are responsible for the lawfulness of any review you publish, and you may face civil, administrative or criminal consequences under applicable law in respect of it. You agree to indemnify AZBA under Section 12 in respect of any claim, complaint or proceeding arising from it. 8.10. Expedited removal. Any User who considers a review about them unlawful, defamatory or in breach of clause 8.8 may submit a complaint to legal@azba.ae or through the in-app reporting function. AZBA will remove or suspend visibility of the review promptly upon receipt of a substantiated complaint, pending review. Removal is a precautionary measure, is not an admission of liability, and is not a finding that the review was true or false. AZBA does not adjudicate the underlying dispute and takes no position on it. 8.11. AZBA may remove, hide or refuse to publish any review at its sole discretion, including where it relates to matters outside a Platform interaction, appears fabricated or incentivised, or presents a legal risk. AZBA may remove reviews without notice and is under no obligation to preserve or restore them. 8.12. Manipulation of reviews and ratings is prohibited, including publishing reviews of your own accounts, procuring, purchasing or exchanging reviews, and submitting reviews with the purpose of harming a competitor.

9. PAID SERVICES AND SERVICE BALANCE

9.1. AZBA offers optional paid services for the promotion and increased visibility of listings (“Paid Services”). Paid Services relate exclusively to placement and display of listings on the Platform. They are AZBA’s own digital services, supplied by AZBA to the User. 9.2. Paid Services may be purchased using a Service Balance: prepaid credit recorded on the User’s account. 9.3. The Service Balance is: (a) prepaid consideration for AZBA’s own promotional services only; (b) usable exclusively for the purchase of Paid Services on the Platform; (c) non-transferable between accounts and non-assignable to any third party; (d) non-withdrawable and non-convertible into cash, funds, vouchers or any other value; (e) non-interest-bearing; and (f) not a deposit, electronic money, stored value instrument, payment account or financial product of any kind. No debt, credit or monetary claim against AZBA arises from it. 9.4. Payment card processing is performed by third-party payment service providers. AZBA does not receive, process or store card data. 9.5. Paid Services purchase visibility only. AZBA gives no guarantee of any number of views, clicks, enquiries, offers, sales, price achieved or any commercial outcome. No refund arises from an unsatisfactory outcome. 9.6. Amounts paid are non-refundable once the corresponding Paid Service has commenced, save where a refund is required by applicable UAE law. Where a Paid Service cannot be delivered due to a fault attributable solely to AZBA, AZBA will at its option re-run the service or credit the corresponding amount to the Service Balance. 9.7. Where a listing is removed or an account is suspended for breach of these Terms, any Paid Service running on it terminates without refund or credit. 9.8. AZBA may change prices, packages and the composition of Paid Services at any time. Changes apply prospectively. 9.9. The Service Balance does not expire. AZBA may introduce an expiry period in future only by amendment to these Terms notified in advance in accordance with clause 15.1. 9.10. All prices are stated inclusive or exclusive of VAT as indicated at the point of purchase, and VAT is applied in accordance with UAE law.

10. INTELLECTUAL PROPERTY

10.1. The Platform, its software, database, structure, design, interfaces, trademarks and the “AZBA” name are owned by AZBA or licensed to it and are protected by law. No right in them is granted to you. 10.2. You retain ownership of the content you publish. By publishing content you grant AZBA a worldwide, non-exclusive, royalty-free, sub-licensable and transferable licence to host, store, reproduce, adapt, resize, translate, index, publish, display, distribute and promote that content in connection with the operation, promotion and marketing of the Platform, and to permit indexing by search engines. This licence continues for a reasonable period after removal of the listing for backup, dispute-resolution, legal-compliance and archival purposes. 10.3. You warrant that you hold all rights necessary to grant this licence. 10.4. Aggregated, statistical and anonymised data derived from Platform activity is owned by AZBA and may be used freely.

11. NOTICE AND TAKEDOWN

11.1. Any person who considers that content on the Platform is unlawful, infringing, fraudulent or in breach of these Terms may submit a notice to legal@azba.ae stating: the identity and contact details of the complainant; the exact URL or listing identifier; the specific ground of complaint; the factual and legal basis; supporting evidence, including proof of rights where infringement is alleged; and a statement that the information is accurate and submitted in good faith. 11.2. AZBA will review complete notices without undue delay and may, at its discretion, remove or restrict access to the content, request further information, notify the publishing User, or take no action. AZBA does not adjudicate the merits of disputes between Users and does not determine ownership, title or contractual rights. 11.3. The publishing User may submit a counter-notice to the same address. AZBA’s decision on reinstatement is final as between AZBA and the Users and is without prejudice to the parties’ rights before the competent authorities. 11.4. Repeated substantiated complaints will result in account termination. 11.5. Removal of content by AZBA is not an admission of liability, a determination of fault, or a finding that any content was unlawful.

12. INDEMNITY

12.1. You agree to indemnify, defend and hold harmless AZBA, its shareholders, directors, officers, employees, agents and contractors from and against all claims, demands, actions, proceedings, penalties, fines, losses, liabilities, damages, costs and reasonable legal expenses arising out of or in connection with: (a) your listings, content or communications; (b) any transaction you enter into or attempt through the Platform; (c) any item or service you offer, sell, supply or purchase; (d) your breach of these Terms or of any representation or warranty in them; (e) your breach of any law or of any third-party right; and (f) any claim brought against AZBA by any third party, including any consumer, authority or rights holder, in connection with any of the foregoing. 12.2. This indemnity survives termination of your account and of these Terms. 12.3. AZBA may, at your cost, assume the exclusive defence of any matter subject to this indemnity, and you will cooperate fully. 12.4. This indemnity does not extend to any loss to the extent that it is caused by AZBA’s own fraud, wilful misconduct, or breach of applicable law.

13. DISCLAIMERS AND LIMITATION OF LIABILITY

13.1. The Platform is provided “as is” and “as available”. AZBA does not warrant that the Platform will be uninterrupted, error-free, secure, or free of defects, or that any content will be accurate or available. 13.2. AZBA is not liable for any loss, damage, cost, expense or harm arising from or connected with: any transaction or dealing between Users; any item, vehicle or service advertised, sold, purchased or supplied; any act, omission, misrepresentation, fraud, default or insolvency of any User; any failure to complete or perform a transaction; any payment made to any User; any defect, malfunction, incompatibility, failure or unsafe condition of any item; any personal injury, property damage or consequential loss caused by the acts or omissions of Users or third parties, including harm resulting from the use, installation or fitting of any item purchased through a listing; any reliance on any listing, description, photograph, translation, review, ranking or rating; any inaccuracy, omission or falsity in User content; or any meeting, inspection or in-person dealing between Users. 13.3. To the fullest extent permitted by applicable law, AZBA excludes liability for indirect, incidental, special, punitive or consequential loss, and for loss of profit, revenue, business, opportunity, goodwill, anticipated saving or data, however arising. 13.4. To the fullest extent permitted by applicable law, AZBA’s aggregate liability to any User in respect of all claims arising in any twelve-month period is limited to the greater of (i) the total amount actually paid by that User to AZBA for Paid Services during the twelve months preceding the event giving rise to the claim and (ii) AED 5,000. 13.5. Nothing in these Terms excludes or limits any liability which cannot lawfully be excluded or limited under the laws of the United Arab Emirates, and no provision of these Terms is to be read as purporting to do so. Where any exclusion or limitation is held unenforceable, it applies to the maximum extent permitted and the remainder of these Terms is unaffected. 13.6. Nothing in these Terms limits any mandatory right a consumer holds under Federal Law No. 15 of 2020 on Consumer Protection or any other mandatory UAE law. Such rights are exercisable against the Seller who supplied the item or service. References to Federal Law No. 15 of 2020 include its amendments, including Federal Decree-Law No. 5 of 2023, and its Executive Regulations (Cabinet Resolution No. 66 of 2023).

14. SUSPENSION AND TERMINATION

14.1. You may close your account at any time through the Platform. 14.2. AZBA may suspend, restrict or terminate your access, immediately and without prior notice or liability, where AZBA reasonably considers that you have breached these Terms or any law, that your conduct presents a risk to other Users or to AZBA, or where required by a competent authority. 14.3. Termination does not entitle you to any refund and does not affect accrued rights, Sections 5, 10, 12, 13, 15 and 16, or any provision intended to survive. 14.4. AZBA may discontinue the Platform or any part of it at any time, giving such notice as is reasonable in the circumstances.

15. CHANGES, NOTICES AND MISCELLANEOUS

15.1. AZBA may amend these Terms at any time. Material changes will be notified through the Platform or by e-mail and take effect on the date stated. Continued use after that date constitutes acceptance. If you do not accept, you must cease use and may close your account. 15.2. Notices to you may be given through the Platform, by push notification, or to your registered e-mail or mobile number, and are deemed received on dispatch. Notices to AZBA must be sent to legal@azba.ae. 15.3. AZBA may assign or transfer these Terms and its rights and obligations under them, in whole or in part, including in connection with any merger, acquisition, restructuring or sale of business, without your consent. You may not assign without AZBA’s prior written consent. 15.4. If any provision is held invalid or unenforceable, it is severed and the remainder continues in full force. 15.5. No failure or delay by AZBA in exercising any right operates as a waiver of it. 15.6. Nothing in these Terms creates a partnership, joint venture, agency, employment or fiduciary relationship between AZBA and any User. 15.7. Events beyond AZBA’s reasonable control, including outages of infrastructure providers, network failures, cyber-attacks, acts of authority, and force majeure, do not give rise to liability. 15.8. These Terms constitute the entire agreement between you and AZBA in relation to the Platform and supersede all prior understandings. 15.9. These Terms are published in English, Arabic and Russian. The English version is the operative version and prevails in the event of any discrepancy, save where UAE law or the competent court requires otherwise, in which case the Arabic version prevails.

16. GOVERNING LAW, COMPLAINTS AND JURISDICTION

16.1. These Terms and any dispute or claim arising out of or in connection with them, the Platform, or their subject matter (including non-contractual disputes) are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Dubai. 16.2. Mandatory complaint stage. Before commencing any proceedings against AZBA, you must submit a written complaint to legal@azba.ae setting out the facts, the relief sought and supporting evidence. AZBA will respond within thirty (30) days. This step applies only to the extent permitted by applicable law and does not limit, delay or waive any mandatory statutory right or remedy available to you. 16.3. Subject to clause 16.2, the courts of Dubai, United Arab Emirates have jurisdiction. This submission is non-exclusive in favour of AZBA, which may bring proceedings against a User before any court of competent jurisdiction, including in the place of that User’s residence or establishment. 16.4. Disputes between Users are not subject to this clause. AZBA is not a party to them, takes no part in their resolution, and provides no dispute-resolution, mediation, arbitration, refund, compensation or guarantee service.
